Terms of Service

1. About these terms

These Terms of Service (the "Terms") govern your use of the Lapis platform at https://lapis.innovations-beyond.com (the "Platform"), operated by <<Operator legal name>> ("we", "us"). By creating an account or otherwise using the Platform you agree to these Terms on behalf of the business you represent ("you", "the Merchant").

If you do not agree, do not use the Platform.

2. What the Platform is

Lapis is point-of-sale and inventory software for jewelry retailers. It lets a Merchant catalogue serialized and bulk inventory, ring up sales, manage repairs and custom orders, track clients, handle memo/consignment, sync with e-commerce storefronts and accounting software, and source loose diamonds from supplier feeds.

Lapis is software. It is not a payment processor, a bank, a marketplace, an appraiser, an escrow agent, or an insurer. Card payments are processed by your own third-party payment processor under your separate agreement with them.

3. Accounts and staff

You are responsible for the accounts and access of your staff, for keeping credentials secure, and for all activity that occurs through your account. Notify us at [email protected] if you suspect unauthorised access.

We may suspend or terminate an account that we reasonably believe has violated these Terms or applicable law.

4. Your data

You retain ownership of the data you put into the Platform — inventory records, customer information, sales history, repair records, photographs, and the like ("Merchant Data").

You grant us a limited, royalty-free licence to store, process, and transmit Merchant Data solely to operate the Platform on your behalf — for example, to render your catalogue, sync inventory to a storefront you connect, deliver status notifications, and produce your reports. We do not sell Merchant Data, and we do not use it to train machine-learning models.

You are responsible for handling customer personal data you collect through the Platform in compliance with applicable privacy law, and for any disclosures or consents your customers require.

5. Integrations and third parties

The Platform can connect to third-party services you choose to enable — e-commerce storefronts (e.g. Shopify, BigCommerce, WooCommerce), accounting software (e.g. QuickBooks Online), diamond-supplier feeds (e.g. RapNet, IDEX, Nivoda), and a payment processor. Your use of those services is governed by your agreements with them. We are not responsible for third-party services, and we do not guarantee their availability or the accuracy of data they return (including supplier diamond feeds and pricing).

6. Subscription and billing

Use of the Platform requires a paid subscription billed per location, monthly in advance, as described on the pricing page. Launch pricing is introductory and may change with at least thirty (30) days' notice to existing subscribers.

You may cancel at any time; cancellation takes effect at the end of the then-current billing period and we do not pro-rate refunds for partial periods. If a charge fails, we may downgrade the account to read-only until the balance is settled.

7. Acceptable use

You agree not to use the Platform to violate any law, infringe anyone's rights, attempt to breach its security, or resell access to it without our written consent.

8. Disclaimers

The Platform is provided as is and as available. To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Platform will be uninterrupted or error-free, that inventory sync with third-party storefronts will be instantaneous or lossless, or that supplier feed data will be accurate. You are responsible for keeping your own backup copies of data you consider important.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or related to your use of the Platform will not exceed the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the claim, or (b) one hundred US dollars ($100).

In no event will we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, inventory, or business opportunities.

10. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Platform, your Merchant Data, or your violation of these Terms.

11. Termination

You may terminate your account at any time. We may suspend or terminate access if you violate these Terms, if continued service exposes us to material legal risk, or if we discontinue the Platform. On termination you may export your Merchant Data for a reasonable period before it is deleted.

Sections 4 (as to data already shared), 8, 9, 10, and 12 survive termination.

12. Governing law

These Terms are governed by the laws of <<state / country>>, excluding its conflict-of-laws rules. Any dispute will be brought exclusively in the courts located in <<venue>>, and you consent to the personal jurisdiction of those courts.

13. Changes

We may update these Terms from time to time. Material changes will be announced via the Platform or by email to active subscribers at least thirty (30) days before they take effect, unless the change is required for security or compliance reasons.
